IperionX plans U.S. redomicile via Texas parent, expands three-state titanium chain for metal AM

IperionX is proposing to redomicile its legal headquarters to the United States through a new parent company in Texas, subject to required approvals, with day-to-day operations left unchanged. In parallel it is expanding a vertically integrated titanium platform across three states: the Atlas critical-minerals project in Tennessee, titanium metal production and advanced manufacturing facilities in Virginia, and titanium technology research and development in Utah. CEO Taso Arima cast the move as aligning corporate form with an already American industrial footprint-customers, strategic partnerships, and government-supported programs-without altering core business strategy. The board also appointed Michael J. Loparco as independent non-executive director to support the shift from capacity build-out to larger-scale commercialization.

For metal additive manufacturing, titanium is only useful when chemistry, feedstock form, and process control are controlled enough for qualified parts. Aerospace and defense LPBF programs in particular treat lot-traceable powder and metal feedstock as a supply-chain risk, not a commodity purchase, so a domestic chain that links minerals through metal production can ease foreign-dependence and eligibility pressure on high-value titanium components. IperionX is staking its position at that materials-and-manufacturing node rather than as a printer OEM, combining company-owned titanium technology, advanced manufacturing capacity, and a large-scale U.S. critical-minerals project on one platform. That combination is scarce among domestic suppliers chasing regulated serial work.

The redomicile mainly simplifies U.S. investment structure and partnership access; the AM test is whether Virginia output becomes certified, lot-traceable titanium feedstock and manufacturing capacity at commercial scale. Buyers in aerospace, defense, and other regulated verticals will judge material consistency, qualification packages, and delivery reliability-not the Texas parent address.
