2. Capital history: who owns Velo3D now, resolved
The question a buyer must answer first is not a round amount; it is control. Velo3D went from a $1.6B-class SPAC listing (2021) to delisting (2024) to a creditor-controlled recapitalization, and the current owner is not the historical venture syndicate. The chain, from filings:
- 2024-09-10: NYSE notified Velo3D it would delist the stock (market cap below the $15M continued-listing standard); trading moved to OTCQX on 2024-09-11 [F]67.

[I] The pivot matters strategically: a machine OEM that operates 100+ of its own printers as a parts service starts competing with the contract manufacturers who bought its machines (the 2026-07-11 Mears Machine fifth-Sapphire signal shows those customers still exist). Channel conflict is a diligence topic, not a disqualifier; VulcanForms proved the vertically integrated model attracts capital, and Velo3D is converging on it from the opposite direction.
4. Technology position: what the patents do and do not prove
